Terms of Service

These Terms of Service ("Terms") govern your access to and use of the BizScore website at bizscore.io and all related services (collectively, the "Service") operated by BizScore ("we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Description of Service

BizScore is an AI-powered visibility audit tool that analyzes websites across three modules: SEO health, AI Search Visibility (GEO), and Conversion Readiness (CRO). The Service generates scores, identifies issues, and provides recommendations with implementation-ready code.

2. Account Registration

To access certain features of the Service, you must create an account using a valid email address. You agree to provide accurate and complete information and to keep your account information up to date.

You are responsible for maintaining the security of your account. You agree to notify us immediately at hello@bizscore.io if you become aware of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used for fraudulent or abusive purposes.

3. Free and Paid Plans

Free Plan

The free plan allows one audit per month and provides overall scores and the top three priority issues. No credit card is required.

Paid Plans

We offer paid subscription plans (Starter, Growth, and Pro) with additional features including increased audit limits, full fix-it action plans, competitor benchmarking, and other features as described on our pricing page.

Paid plans are billed monthly. Prices are listed in US dollars and are subject to change with 30 days' written notice to active subscribers.

Subscription Billing

Paid subscriptions are processed through Stripe, Inc. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring monthly basis until you cancel.

You may cancel your subscription at any time through your account settings or by contacting us at hello@bizscore.io. Cancellation takes effect at the end of your current billing period. We do not provide refunds for partial months.

Plan Changes

You may upgrade or downgrade your plan at any time. Upgrades take effect immediately, and you will be charged the prorated difference. Downgrades take effect at the start of your next billing period.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service to audit websites you do not own or have authorization to audit in a manner that constitutes unauthorized access
• Use the Service to conduct excessive or automated audits beyond your plan's limits through circumvention of our rate limiting
• Attempt to reverse-engineer, decompile, or disassemble any portion of the Service
• Use the Service to distribute malware, spam, or other harmful content
• Resell access to the Service without our written consent
• Use the Service in any manner that could interfere with, disrupt, or impose an undue burden on our infrastructure
• Scrape, crawl, or otherwise extract data from the Service through automated means not authorized by us
• Impersonate any person or entity or misrepresent your affiliation with any person or entity

5. Intellectual Property

Our Intellectual Property

The Service, including its design, text, graphics, logos, icons, software, and all other content, is the property of BizScore and is protected by United States and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Service for its intended purpose, subject to these Terms.

Your Content

You retain ownership of any data you provide to the Service, including the URLs you submit for auditing. By using the Service, you grant us a limited license to process this data as necessary to provide the Service.

Audit Reports

Audit reports generated by the Service are provided for your use. You may share, download, and use report content for your business purposes. You may not resell audit reports as a standalone product without a Pro plan or written authorization.

6. AI-Generated Content

The Service uses artificial intelligence to analyze websites, generate scores, and produce recommendations. You acknowledge that:

• AI-generated content is provided for informational purposes and should not be considered professional advice
• Audit scores and recommendations are based on automated analysis and may not capture every factor relevant to your specific situation
• AI analysis results may vary between audits due to the nature of AI processing
• Implementation of recommendations is at your own risk and discretion
• We do not guarantee specific outcomes from implementing recommendations

We recommend consulting with qualified professionals (web developers, SEO specialists, legal counsel) before making significant changes to your website based on audit recommendations.

7. Website Crawling

To provide the Service, our crawler (BizScoreBot) accesses publicly available web pages at the URLs you submit. Our crawler:

• Identifies itself via the User-Agent string "BizScoreBot/1.0 (+https://bizscore.io/bot)"
• Respects robots.txt directives
• Does not store copies of crawled pages beyond what is necessary to generate the audit report
• Does not index crawled pages for search purposes

8. Limitation of Liability

To the maximum extent permitted by applicable law, BizScore and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of (or inability to access or use) the service
• Any conduct or content of any third party on the service
• Any content obtained from the service
• Unauthorized access, use, or alteration of your transmissions or content
• Implementation of any recommendations provided by the service

In no event shall our total liability to you for all claims relating to the service exceed the amount you paid us in the twelve (12) months preceding the claim, or one hundred dollars ($100), whichever is greater.

9. Disclaimer of Warranties

The service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, and course of dealing.

We do not warrant that the service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the service is free of viruses or other harmful components.

We do not warrant or make any representations regarding the accuracy, reliability, or completeness of audit results or any content provided through the service.

10. Indemnification

You agree to indemnify, defend, and hold harmless BizScore and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights
• Any content you submit through the Service

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, the dispute shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

The arbitration shall be conducted in the English language. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not in a class, consolidated, or representative action.

12. Modifications to the Service

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

13. Changes to These Terms

We may revise these Terms from time to time. The most current version will always be posted on this page with an updated effective date. Material changes will be communicated to registered users via email at least 30 days before taking effect.

Your continued use of the Service after any changes constitutes your acceptance of the revised Terms.

14. Severability

If any provision of these Terms is held to be unenforceable or invalid, that provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and BizScore regarding the Service and supersede all prior agreements and understandings, whether written or oral.
